HBL BRANCHLESS BANKING AGENCY AGREEMENT

HABIB BANK LIMITED, a banking company incorporated under the laws of Pakistan, having its registered office at 9th Floor, Habib Bank Tower, Jinnah Avenue, Blue Area, Islamabad, and head office at Habib Bank Plaza, I.I. Chundrigar Road, Karachi (hereinafter referred to as"HBL" which expression shall, where the context so permits or requires, mean and include its successors-in-interest, administrators and permitted assigns) of the FIRST PART.

AND

________________, S/o/W/o ________________, adult, holding CNIC No. __________, resident of __________, carrying on a business under the name and style of "_________", having a place of business at __________ (hereinafter referred to as the "Direct Agent" which expression shall, where the context so permits or requires, mean and include his successors-in-interest, administrators and permitted assigns) of the OTHER PART.

OR

_______________________, a partnership concern having (1) _______________________, S/o/W/o _______________________, adult, holding CNIC No. _______________________, resident of _______________________, and (2) _______________________, S/o/W/o _______________________, adult, holding CNIC No. _______________________, resident of ________________________________, as partners, acting through its authorized partner _______________________ , having its principal place of business at _______________________ (hereinafter referred to as the "Direct Agent" which expression shall, where the context so permits or requires, mean and include its successors-in-interest, administrators and permitted assigns) of the OTHER PART.

_______________________, a [private/public] limited company incorporated under the laws of Pakistan, having its registered office at ______ (hereinafter referred to as the "Direct Agent" which expression shall, where the context so permits or requires, mean and include its successors-in-interest, administrators and permitted assigns) of the OTHER PART.

(HBL and the Direct Agent are hereinafter collectively referred to as the "Parties" and individually as a "Party".)

WHEREAS HBL is engaged in the business of banking and is authorized by SBP to undertake Branchless Banking activities in Pakistan.

AND WHEREAS the Direct Agent has represented that it has the necessary expertise, skill, infrastructure and resources to act as agent of HBL in the provision of certain Branchless Banking Services to Customers on behalf of HBL as contemplated in this Agreement.

AND WHEREAS on the basis of the Direct Agent’s representations, HBL has agreed to appoint the Direct Agent as its agent, on a non-exclusive basis, for provision of certain Branchless Banking Services to Customers on behalf of HBL, subject to, and on the terms and conditions of, this Agreement.
